1. Parties
These Terms govern the service agreement between the purchaser ("Client") and Broken Harmony Studio LLC, a Texas limited liability company ("Studio"), for the production of a custom music track ("Deliverable").
2. Deliverable & Ownership
Upon receipt of full payment, Client receives a non-exclusive, perpetual, worldwide license to use the Deliverable for commercial and non-commercial purposes including advertising, brand content, social media, video production, and publication. Studio retains no ongoing ownership claim over the final delivered master once payment is confirmed.
3. Production Method & Third-Party AI Services
Client acknowledges that the Studio's production process may incorporate AI-assisted music generation tools including but not limited to Suno AI, and other third-party generative audio platforms ("Third-Party Services"). By submitting this order, Client expressly acknowledges and consents to this workflow.
Important: Third-Party Services operate under their own independent terms of service, privacy policies, and data retention practices. Broken Harmony Studio LLC does not control, and is not responsible for, how Third-Party Services store, process, retain, or use any data — including audio prompts, generated outputs, or associated metadata — submitted through their platforms in the course of producing the Deliverable. Client agrees to hold Studio harmless for any data handling conducted by Third-Party Services.
4. Voice Sample — Submission, Use & Retention
If Client elects the Custom Vocal Add-On and submits a voice recording ("Voice Sample"), Client represents and warrants that: (a) the Voice Sample is an original recording of Client's own voice; (b) Client is the sole owner of all rights in the Voice Sample; (c) Client is at least 18 years of age; and (d) no third party has any claim over the Voice Sample or the voice contained therein.
Client grants Studio a limited, non-exclusive license to submit the Voice Sample to Third-Party AI Services solely for the purpose of producing the requested Deliverable. Studio does not permanently retain Voice Samples on its own servers beyond the period necessary to complete the order, typically no longer than 30 days after delivery. However, Client explicitly acknowledges that Third-Party Services may retain, store, or process the Voice Sample in accordance with their own data policies, over which Studio has no control.
Client releases Studio, its affiliates, officers, and employees from any and all claims arising from the Third-Party Services' handling, retention, or use of the Voice Sample. If Client does not consent to potential Third-Party retention of their voice data, Client should not select the Custom Vocal Add-On.
5. Copyright & Commercial Clearance
The Deliverable is produced with a human arrangement and Logic Pro engineering pass to support Client's copyright eligibility claim. However, Studio makes no absolute legal guarantee of copyright registration or approval by any government authority. Copyright law as it applies to AI-assisted works continues to evolve. Client is advised to consult independent legal counsel regarding registration and enforcement of rights in the Deliverable.
6. Refund Policy
Due to the custom nature of each Deliverable, all sales are final once production begins. If the Studio is unable to fulfill the order, a full refund will be issued. Revision requests are accommodated at Studio's discretion within 7 days of delivery.
7. Limitation of Liability
Studio's total liability to Client under these Terms shall not exceed the amount paid by Client for the applicable order. In no event shall Studio be liable for indirect, incidental, special, or consequential damages including lost profits or loss of business opportunity.
8. Governing Law
These Terms are governed by the laws of the State of Texas. Any disputes shall be resolved in the courts of Harris County, Texas.
9. Entire Agreement
By checking the box below, Client confirms they have read, understood, and agree to these Terms in full. These Terms constitute the entire agreement between the parties with respect to this order.
